Avalon Customs, LLC Terms and Conditions
- Introduction
- These Terms and Conditions form a legally binding agreement between Avalon Customs and you, the Customer. Avalon Customs reserves the right to amend these terms. Updates will apply to new orders automatically and to ongoing orders only with explicit Customer consent. Updates will be communicated to Customers in writing via email and will also be posted on the Avalon Customs website. Customers must provide explicit consent for ongoing orders within seven business days of notification. If explicit consent is not received within the specified timeframe, ongoing orders will proceed under the original terms.
- Definitions:
- “Significant Delays”: Refers to production or delivery delays exceeding 15 business days from the original estimate, excluding delays caused by force majeure events, material shortages (defined as industry-wide unavailability documented by Avalon Customs), or Customer-related delays (e.g., late approvals, incomplete specifications).
- “Reasonable Timeframe”: Refers to a maximum of 30 business days unless extended by mutual written agreement or necessitated by unavoidable delays, with timely Customer notification. In cases where unavoidable delays persist beyond 60 business days, the Customer may request a cancellation and refund for undelivered work, less costs incurred.
- “Natural Variations”: Refers to inherent differences in wood color, grain, texture, knots, or other organic characteristics, including natural cracking or minor warping, that do not compromise structural integrity or functionality. Avalon Customs is not liable for disputes arising from these natural characteristics, which are consistent with industry standards and not considered defects.
2. Shipping and Handling Policy
- International Shipping
- Avalon Customs does not currently offer international shipping. Should this option become available, additional fees, restrictions, and timelines will be disclosed in writing at the time of order placement. Avalon Customs assumes no liability for customs clearance delays, lost shipments, damages, or issues arising from inaccurate address details provided by the Customer. Customers will be notified via email and website updates regarding any changes to international shipping availability. Notifications will be sent at least 30 calendar days before changes take effect.
- Expedited Shipping
- Customers may request expedited shipping for an additional fee. Costs and timelines depend on the selected carrier and shipping method. Expedited requests must be submitted in writing via email and approved by Avalon Customs before fulfillment. Avalon Customs is not responsible for delays, service failures, or damages caused by third-party carriers. In the event expedited shipping timelines are not met, Avalon Customs will assist in filing claims with the carrier but will not issue refunds directly for shipping costs unless the carrier reimburses Avalon Customs.
- Customs and Duties
- International customers (if applicable) are responsible for all customs duties, import taxes, and other fees required by their country of residence. Failure to pay such fees within the required timeframe may result in shipment abandonment. Avalon Customs reserves the right to recover, resell, or dispose of unclaimed items at its discretion without issuing a refund to the Customer. Avalon Customs assumes no responsibility for delays, issues arising from international customs processes, or incorrect duty or tax estimations provided at the time of purchase.
3. Cancellation and Modification Policy
- Order Cancellation
- Customers may cancel orders before production begins. Production is defined as the point at which design approvals are finalized, materials are procured (specific to the order), or tool setup has commenced, whichever occurs first. Cancellation requests must be submitted in writing via email or signed document, including the Customer’s name, order number, and reason for cancellation. Avalon Customs will confirm receipt of the cancellation request within three business days.
- Non-Refundable Deposits:
- All custom orders are subject to a non-refundable deposit and are not eligible for full refunds.
- In-Progress Work Costs:
- Cancellations after production begins will incur costs for materials, labor, and other expenses up to the cancellation date. An itemized breakdown of these costs will be provided upon request.
- Refunds for Eligible Orders:
- Refunds for eligible orders, including non-custom orders, will be processed within 14 business days of cancellation approval. Eligible orders are those that meet refund criteria outlined in the terms (e.g., non-custom products in resalable condition).
- Order Modifications
- Modification requests after an order is placed must be submitted in writing via email or signed form. Requests must include a detailed description of the proposed changes.
- Scope of Changes:
- Modifications are limited to reasonable changes that do not fundamentally alter the project’s scope or design. Reasonable changes include minor adjustments to dimensions, finishes, or other details that do not impact the core structure or functionality of the product.
- Costs and Timeline Adjustments:
- Approved modifications may result in additional costs and timeline adjustments, which will be communicated to the Customer in writing before implementation.
- Approval or Denial:
- Avalon Customs will approve or deny modification requests within 7 business days of submission. If a modification request is denied, the project will proceed with the original design specifications.
- Disputes:
- Customers may dispute denied modifications by providing additional justification or documentation within three business days of the denial. Avalon Customs will review disputes and provide a final decision within five business days.
4. Customer Responsibilities
- Timely Communication
- Customers are required to respond to approval requests and other communications within five (5) business days unless otherwise agreed in writing. Communication will be conducted primarily via email or other documented methods as determined by Avalon Customs. Failure to respond within this timeframe may result in production or delivery delays, timeline extensions, additional costs, or order cancellation.
- Documentation of Contact Attempts: Avalon Customs will document all attempts to contact customers. If a customer remains non-responsive for more than ten (10) business days, Avalon Customs reserves the right to pause production, reschedule delivery, or cancel the order at its discretion.
- Exceptions for Emergencies: Customers must notify Avalon Customs of any emergencies or extenuating circumstances that may impact their ability to respond. Avalon Customs will work with customers to adjust timelines as reasonably feasible.
- Proper Use and Maintenance
- Customers must follow the written care instructions provided by Avalon Customs to ensure product longevity. Care instructions will accompany all products requiring special maintenance. Avalon Customs is not liable for damages caused by:
- Misuse, including but not limited to overloading, improper handling, or using the product outside its intended purpose.
- Failure to follow care instructions, including cleaning, storage, and environmental considerations.
- Natural wear and tear, including fading, minor scratches, or wood warping under standard use conditions.
- Unauthorized repairs, modifications, or alterations performed by third parties, including refinishing, resizing, or structural changes, void all warranties and liability. Customers must seek written approval from Avalon Customs before initiating repairs or alterations.
5. Sustainability and Ethical Practices
- Sustainable Materials
- Avalon Customs is committed to sourcing sustainable, eco-friendly materials, including FSC-certified wood, recycled materials, or other responsibly sourced resources, whenever feasible. Availability, cost constraints, or market conditions may limit the use of such materials in certain products. Avalon Customs does not guarantee the specific percentage of sustainable materials used in any product and disclaims liability for customer expectations regarding material sourcing unless explicitly stated in a written agreement.
- Recycling and Disposal
- Avalon Customs provides general guidance for responsibly recycling or disposing of its products. Customers are encouraged to contact Avalon Customs for recommendations tailored to their specific product. Avalon Customs is not responsible for executing recycling or disposal efforts, assumes no liability for outcomes, and does not guarantee the availability of local recycling facilities. Customers are solely responsible for complying with all applicable local recycling and disposal laws and regulations.
6. Limited Edition or Specialty Products
- Exclusivity
- Limited edition and specialty products refer to unique, one-of-a-kind items, small-batch collections, or products with custom features as designated by Avalon Customs. These items are non-refundable except in cases of verified manufacturing defects or failure to meet agreed specifications, as determined solely by Avalon Customs. Limited edition and specialty products may not be modified after purchase, including but not limited to resizing, refinishing, structural alterations, or any other changes that compromise the integrity or design of the product. Unauthorized modifications void all warranties and liability. Avalon Customs reserves the right to determine whether a product qualifies as limited edition or specialty.
7. Licensing and Reuse Policy
- Intellectual Property Licensing
- Customers may license Avalon Customs designs for personal or commercial use only upon prior written approval. Licensing terms, including but not limited to scope of use, time limits, geographic restrictions, fees, and royalties, must be agreed upon in a separate, signed licensing agreement. Unauthorized use, reproduction, distribution, or adaptation of Avalon Customs designs constitutes a violation of intellectual property rights and may result in immediate termination of use, voiding of the agreement, and legal action. Avalon Customs retains all intellectual property rights unless explicitly transferred in the signed agreement.
- Reuse or Repurposing
- Customers may not repurpose, modify, or alter Avalon Customs products, including but not limited to structural changes, resizing, altering design elements, or creating derivative works, without prior written consent. Minor, aesthetic modifications (e.g., repainting) may be permitted only with explicit written approval from Avalon Customs. Unauthorized alterations void all warranties, release Avalon Customs from liability, and may result in legal action. Avalon Customs reserves the right to approve or deny modifications at its sole discretion.
8. Product-Specific Policies
- Warranty Extensions
- Extended warranties may be purchased for certain products at the time of purchase or within 30 calendar days of the purchase date. Warranty terms, costs, and coverage, including any exclusions such as accidental damage, misuse, unauthorized repairs, or natural wear and tear, will be disclosed in writing at the time of warranty purchase. Extended warranties are non-transferable and non-refundable unless explicitly stated otherwise in the warranty agreement. Avalon Customs reserves the right to void warranties if terms are violated.
- Custom Product Details
- Highly customized items, such as epoxy tables or engraved products, are subject to specific terms disclosed and agreed upon in writing before production begins. These terms may include non-refundable deposits, unique timelines, and design approval requirements. Customers must review and approve all design details in writing before production begins. Once approved, changes to highly customized items are not permitted unless explicitly authorized by Avalon Customs in writing, and such changes may incur additional costs and timeline adjustments. Refunds will not be issued for custom products unless the product fails to meet agreed specifications as verified by Avalon Customs. Avalon Customs retains the sole discretion to determine whether a product meets agreed specifications.
9. Promotional and Discount Policies
- Coupon Codes
- Coupons must be applied at the time of purchase and cannot be retroactively applied. Each coupon code is limited to one use per transaction unless explicitly specified otherwise. Expiration dates, usage limits, and exclusions apply as stated in the promotion, including but not limited to custom products, limited-edition items, and products already on sale. Avalon Customs reserves the right to correct errors in coupon application, promotional pricing, or terms at any time and to modify or cancel promotions without prior notice at its sole discretion. Coupon codes may not be combined with other offers unless explicitly permitted.
- Sales and Promotions
- All sale and promotional items are final sale and are not eligible for returns, refunds, or exchanges unless defective. A defective item is defined as one that fails to meet agreed specifications or is non-functional due to a verified manufacturing defect. Customers must report defective sale items within 7 calendar days of receipt, providing photographic evidence and a detailed description of the defect. Refunds, replacements, or store credits will be issued solely at Avalon Customs’ discretion after verification of the defect. Avalon Customs reserves the right to deny claims for items not meeting these criteria.
10. Maintenance and Repair Services
- Service Scope
- Avalon Customs offers repair and maintenance services for its products upon request, subject to evaluation and approval. Avalon Customs reserves the right to refuse repair requests for severely damaged or unrepairable products, including those that have undergone unauthorized modifications. Customers are responsible for shipping costs to and from Avalon Customs’ facility and must use adequately protective packaging. Avalon Customs assumes no liability for damage incurred during transit unless caused by Avalon Customs’ negligence. Repairs will be completed within a reasonable timeframe, typically 30 business days, unless otherwise communicated in writing. Avalon Customs reserves the right to extend timelines due to unforeseen circumstances such as material delays or complex repairs.
- Fees
- Repairs outside the warranty period or caused by misuse, improper maintenance, or unauthorized modifications will incur additional charges. Customers will receive a written estimate detailing costs, required timelines, and scope of repairs for approval before work begins. Failure to approve estimates within 10 business days of issuance may result in cancellation of the repair request. Repairs covered under the warranty are free of charge but exclude shipping costs. Avalon Customs reserves the right to update or revise fees prior to estimate approval to account for changes in material or labor costs.
11. Product Safety and Liability
- Product Safety Warnings
- Customers are advised that some products may include sharp edges, heavy components, tipping risks, or other potential hazards. Products made of natural materials may have splinters, irregular surfaces, or variations in color and texture. Customers are required to handle products with care and adhere to all written safety guidelines provided by Avalon Customs. Customers must acknowledge receipt of safety guidelines in writing before delivery or pickup for products requiring special handling. Avalon Customs reserves the right to deny delivery or pickup until such acknowledgment is provided.
- Disclaimers
- Avalon Customs is not responsible for damages or injuries resulting from improper use, handling, storage, or modification of its products. Avalon Customs assumes no liability for damages or injuries caused by third parties, including but not limited to movers, installers, or repair personnel hired by the customer. Additionally, Avalon Customs disclaims liability for issues arising from the natural characteristics of materials, such as cracking, warping, or discoloration, that occur under normal conditions or due to environmental factors beyond its control. Avalon Customs is not responsible for product performance when exposed to conditions contrary to the provided guidelines.
12. Customer Feedback and Reviews
- Feedback Collection
- Customer feedback and reviews may be used for marketing purposes, including on the Avalon Customs website and social media platforms, with the customer’s explicit written consent. Such feedback is used solely for informational purposes and does not constitute an endorsement of Avalon Customs or its products. Avalon Customs reserves the right to edit feedback for clarity or brevity without altering the original meaning, subject to the customer’s approval.
- Review Moderation
- Avalon Customs reserves the right to moderate and remove reviews deemed inappropriate, including but not limited to reviews containing offensive language, defamatory statements, spam, content unrelated to the product or service, or breaches of Avalon Customs’ terms and conditions. False reviews are defined as those based on inaccurate, unverifiable, or intentionally misleading information. Customers will be notified of review removal and may appeal moderation decisions by submitting a request in writing within 7 business days of the removal. Avalon Customs will review appeals and issue a final decision within 10 business days.
13. Governing Language
- The English version of these Terms and Conditions is the legally binding version and takes precedence over any translations. Translations, if provided, are for convenience only and are not legally binding. In the event of a dispute or discrepancy, the English version will serve as the authoritative reference for interpretation and resolution. Avalon Customs assumes no responsibility for misunderstandings arising from inaccuracies or differences in translations.
14. Severability Clause
- If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to render it valid and enforceable while preserving its original intent. If such modification is not possible, the provision shall be severed, and the remaining Terms and Conditions shall remain in full force and effect. The remaining provisions shall be interpreted to reflect as closely as possible the original intent of the agreement, without affecting the validity or enforceability of the other provisions.
15. Entire Agreement Clause
- These Terms and Conditions constitute the entire agreement between Avalon Customs and the Customer, superseding all prior agreements, representations, or communications, whether written or verbal. No verbal statements, representations, or promises made outside this document shall be considered binding. This agreement may only be amended through a written document signed by both Avalon Customs and the Customer. Supplementary policies, including but not limited to Avalon Customs’ privacy policy, licensing agreements, or warranty terms, are intended to coexist with and complement these Terms and Conditions unless explicitly stated otherwise. Any inconsistencies between this agreement and supplementary policies will be resolved in favor of these Terms and Conditions.
16. Force Majeure Extended Coverage
- Partial Refunds
In cases where work cannot be completed due to a force majeure event, partial refunds will be calculated based on the value of undelivered work, minus costs incurred, including labor, materials, and administrative expenses directly associated with the work performed. Refunds will only be issued for work not completed and will exclude non-refundable deposits. Refunds will be processed within 30 business days after Avalon Customs and the Customer agree on the final refund value in writing. Avalon Customs is not responsible for delays in refund processing caused by incomplete or delayed responses from the Customer.
- Resuming Work
- Production may resume after a force majeure event with mutual agreement on updated timelines, costs, and revised project terms, all documented in writing. Avalon Customs reserves the right to decline the resumption of work if material availability, logistical constraints, or other factors render completion infeasible. If work cannot resume, partial refunds will be issued as outlined above. Customers waive any claims for additional compensation or damages related to delays or cancellations resulting from force majeure events.
17. Affiliate and Referral Programs
- Eligibility
- Referral programs are open to registered customers and affiliates approved by Avalon Customs based on eligibility criteria, including a valid account, compliance with program terms, and a demonstrated history of ethical engagement. Avalon Customs reserves the right to deny, suspend, or revoke eligibility at any time for reasons including but not limited to fraudulent referrals, misuse of program resources, violation of terms, or inactivity. Avalon Customs may modify, suspend, or terminate the program at its sole discretion with prior written notice to participants, and such changes will not affect rewards already earned but not yet redeemed.
- Rewards
- Rewards will be issued after verification of qualifying referrals, which includes confirming that referred customers have completed an eligible purchase or action as defined in the program guidelines. Rewards may include discounts, store credits, or other benefits specified in the program terms. Rewards are non-transferable, non-refundable, and must be redeemed within 12 months of issuance unless explicitly stated otherwise. Avalon Customs reserves the right to adjust or revoke rewards if a referral is later deemed invalid, fraudulent, or non-compliant with program requirements. Avalon Customs’ determination of referral validity is final and binding.
18. Right to Refuse Service
- Avalon Customs reserves the right to refuse service to customers for reasons including, but not limited to, abusive behavior, failure to comply with terms, or reasonably substantiated fraudulent activity. Customers will be notified of service refusal in writing, including the reason for refusal and any next steps. Customers may appeal the decision by providing evidence to Avalon Customs within 7 business days of receiving the refusal notification.
- If service is refused for an ongoing order, Avalon Customs will determine whether to issue a partial refund, complete the order, or cancel it entirely, based on the circumstances. Any refunds will reflect the value of undelivered work, less costs incurred. Avalon Customs is not obligated to provide refunds for orders canceled due to abusive behavior or confirmed fraudulent activity.
19. Bulk Orders and Wholesale
- Minimum Order Quantities
- Wholesale orders require a minimum purchase quantity, as specified at the time of inquiry or based on Avalon Customs’ default minimum quantity for the product type. Any changes to the agreed minimum quantity must be requested in writing and approved by both parties before production begins. Failure to meet the agreed minimum quantity may result in order cancellation, pricing adjustments, or additional fees, at Avalon Customs’ discretion.
- Special Terms
- Bulk and wholesale orders may include unique pricing, payment terms, or delivery conditions, which will be detailed in a separate written contract agreed upon by both parties. The contract may specify pricing tiers, payment schedules, production timelines, delivery windows, and any other relevant terms. Unless explicitly stated otherwise in the contract, wholesale arrangements are non-exclusive, and Avalon Customs reserves the right to sell similar products to other customers. Avalon Customs retains the right to terminate wholesale agreements for non-compliance with contract terms, with prior written notice.
20. Digital Tools or Resources
- Access and Licensing
- Customers may use digital tools or resources (e.g., downloadable plans) provided by Avalon Customs for personal, non-commercial purposes only. Acceptable use includes individual project creation for personal enjoyment or non-commercial purposes. Redistribution, resale, sharing, adaptation, or use of these resources for commercial purposes without prior written authorization from Avalon Customs is strictly prohibited. Copyright ownership of all digital tools and resources remains exclusively with Avalon Customs. Unauthorized use may result in termination of access and legal action.
- Termination of Access
- Avalon Customs reserves the right to terminate access to digital resources for non-payment, misuse, or any violations of these terms. Misuse includes, but is not limited to, unauthorized sharing, redistribution, or resale of digital resources, attempts to circumvent access restrictions, or actions that compromise the integrity of Avalon Customs’ systems. Terminated access due to violations will not qualify for refunds. In cases of termination caused by system errors or non-customer-related issues, customers may be eligible for a refund or reinstatement of access upon resolution. Customers may appeal termination decisions by submitting a written request, including supporting evidence, to Avalon Customs within seven (7) business days of receiving the termination notification. Appeals will be reviewed, and a final decision will be provided within ten (10) business days. Avalon Customs’ decision is final and binding.
21. Complaints and Dispute Escalation
- Complaint Process
- Customers may file complaints via email or phone. Complaints submitted via email must include the customer’s name, order number, a detailed description of the issue, and any supporting documentation or photos. Avalon Customs will acknowledge receipt of the complaint within seven (7) business days and provide a resolution timeline or request additional information. Complaints that do not include the required details may experience delays in resolution or may not be addressed until complete information is provided. Avalon Customs reserves the right to close complaints deemed frivolous or outside the scope of its responsibility.
- Dispute Escalation
- If disputes cannot be resolved directly, the matter will proceed to mediation or binding arbitration. Mediation or arbitration must be initiated within thirty (30) calendar days after direct resolution efforts have failed. Costs for mediation or arbitration will be shared equally by both parties unless otherwise determined by the mediator or arbitrator. Arbitration will take place in the State of Kansas and will be governed by Kansas law, unless both parties mutually agree to an alternative location. Customers waive the right to pursue disputes through courts unless arbitration fails to reach a resolution. Any unresolved disputes must be brought within one (1) year of the event giving rise to the claim, or they will be deemed waived. Avalon Customs reserves the right to recover legal fees if disputes are found to be initiated in bad faith.
22. Limitation of Liability
- Monetary Cap
- Avalon Customs’ liability is strictly limited to the total amount paid by the Customer for the specific product or service, including related fees such as customization or shipping costs. This limitation excludes liability for intentional misconduct or gross negligence by Avalon Customs. Under no circumstances will Avalon Customs be held liable for amounts exceeding the total payment made by the Customer, regardless of the nature of the claim.
- Exclusion of Indirect Damages
- Avalon Customs is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, loss of use, loss of goodwill, business interruption, or emotional distress. Avalon Customs also assumes no liability for damages, delays, or losses caused by third parties, including but not limited to shipping carriers, movers, or installers, even if these parties are recommended by Avalon Customs. This exclusion applies regardless of whether Avalon Customs was advised of the possibility of such damages.
23. Governing Law and Dispute Resolution
- These Terms and Conditions are governed by the laws of the State of Kansas, except where prohibited by applicable local or international laws. This clause applies to all transactions unless superseded by mandatory legal requirements in the Customer’s jurisdiction. In the event of a conflict, Kansas law will apply to the extent permissible.
24. Dispute Resolution
- Disputes will first be subject to mediation in the State of Kansas, with both parties participating in good faith to reach a resolution. If mediation fails, the dispute will proceed to binding arbitration, conducted in Kansas and governed by Kansas law, unless both parties agree in writing to an alternative location or governing law. Arbitration costs will be shared equally by both parties unless the arbitrator determines a different allocation based on financial hardship or the nature of the dispute.
- All disputes must be initiated within 12 months of the event giving rise to the claim. Failure to raise a dispute within this timeframe will result in a waiver of the claim. Customers waive their right to file lawsuits in any jurisdiction unless arbitration fails to provide a resolution. Avalon Customs reserves the right to recover legal fees and arbitration costs if a claim is determined to be frivolous or brought in bad faith.
